1. Acceptance of these terms
By creating a Duepay account, signing in with Google, or otherwise using our website or progressive web app (the “Service”), you agree to these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not use the Service.
These Terms form a binding contract between you and Elegant Haven Ltd, a company registered in England and Wales under company number 15385522, with registered office at 44 Broadway, Stratford, London, E15 1XH, trading as “Duepay” (“we”, “us”). If you are accepting on behalf of a business, you confirm you have authority to bind that business.
2. What DuePay does
DuePay is an outsourced invoicing and payment collection service for builders and tradespeople operating in the United Kingdom. You hand your invoices over to DuePay and we handle them on your behalf. As your authorised agent for invoicing and collection, the Service includes:
- Issuing invoices to your clients in your name.
- Following up via SMS, email, and phone calls until the invoice is paid.
- Collecting card and bank payments through Stripe Connect.
- Where standard collection efforts are unsuccessful, escalating with formal Letters Before Action and supporting you through UK small claims court where appropriate.
- Keeping you informed throughout with status updates and notifications.
You appoint DuePay as your authorised agent for the limited purpose of issuing invoices, following up with clients, and collecting payment on your behalf. You remain the supplier of the underlying goods or services and the legal creditor on each invoice.
3. Eligibility and account registration
To use Duepay you must:
- Be at least 18 years old.
- Be a sole trader, partnership, or company lawfully trading in the UK.
- Provide accurate, current, and complete registration information.
- Keep your login credentials secure and not share them.
You are responsible for all activity under your account. Notify us immediately at office@duepay.co.uk if you suspect unauthorised access.
4. Your obligations as a builder
You agree that:
- Invoices you issue through Duepay reflect real goods or services you have supplied or are contracted to supply.
- You are solely responsible for your tax, VAT, HMRC reporting, insurance, and trading-status obligations.
- You will comply with all laws that apply to your business, including the Construction (Design and Management) Regulations, consumer protection law, and UK GDPR.
- You have a lawful basis to enter your clients' personal data into the Service and, where required, you have given those clients notice of your processing.
- The content you upload (including logos, descriptions, and notes) does not infringe any third party's rights.
5. Client data — controller and processor
When you enter your customers' details into Duepay:
- You are the data controller for that data.
- We are your data processor.
We will process client data only to provide the Service to you and in line with our Privacy Policy. You are responsible for having the right to give us that data and for meeting any obligations you owe to your clients.
6. Payments (Stripe Connect)
Payments through Duepay are processed by Stripe, our payment partner. To collect payments you must complete Stripe Connect onboarding and accept Stripe's Connected Account Agreement and Services Agreement.
- Stripe, not Duepay, holds and transfers funds, verifies identity, and handles disputes and chargebacks.
- Stripe's fees apply. In addition, Elegant Haven Ltd charges a success fee — a percentage of the amount we successfully collect on your behalf. The success fee is only charged when an invoice is actually paid; if a client never pays, you owe nothing. For invoices collected via Stripe Connect, the success fee is taken automatically as a Stripe application fee at payment time. For invoices marked paid via manual BACS, the accumulated success fees are settled fortnightly against the card on file.
- Payout timing is controlled by Stripe.
- You authorise Duepay to initiate payment intents on your behalf when you trigger invoicing or collection.
We are not responsible for the actions, delays, or failures of Stripe. If your Stripe account is suspended by Stripe, your ability to collect payments through the Service will be affected.
7. Fees
Our pricing is a success fee of 0.9% of the amount we successfully collect on each invoice. There are no subscription fees, no setup fees, no monthly minimums, and no charges for invoices we do not collect. If we never collect on an invoice, you never pay us for it. For invoices collected via Stripe Connect, the 0.9% is deducted automatically as a Stripe application fee at payment time. For invoices marked paid via manual BACS, 0.9% of each paid invoice is accumulated and settled fortnightly against the card on file. The current success-fee rate and any applicable minimum are shown on our website and in-app. We may change pricing with reasonable advance notice; continued use after the effective date constitutes acceptance.
8. Acceptable use
You must not:
- Send fraudulent, misleading, or duplicate invoices.
- Harass, threaten, or abuse your clients through the Service.
- Use the Service to send spam or unsolicited communications outside the scope of invoicing.
- Attempt to reverse engineer, decompile, scrape beyond normal use, or copy the Service.
- Circumvent rate limits, abuse APIs, or run unauthorised automation or bots.
- Upload malware, illegal content, or content that infringes third-party rights.
- Use the Service in a way that violates UK law or Stripe's policies.
We may suspend or terminate accounts that violate this section.
9. Intellectual property
We own the Service, including its code, design, branding, and documentation. Nothing in these Terms transfers ownership of the Service to you.
You retain ownership of the content you upload (logos, client records, invoices). You grant us a worldwide, royalty-free, non-exclusive licence to host, copy, transmit, and display that content solely to operate the Service for you.
10. Third-party services
The Service integrates with Stripe, Google, Firebase, Supabase, and other third parties. Your use of those services is governed by their own terms. We are not responsible for third-party outages, policy changes, or data handling beyond our control.
11. Service availability and beta features
Duepay is provided on an “as is” and “as available” basis. We do not guarantee uptime for the current version of the Service. Features marked as beta or experimental may change or be removed without notice.
We may perform maintenance, updates, and deployments that cause temporary downtime. We will try to minimise disruption.
12. Disclaimers
To the fullest extent permitted by law, we disclaim all implied warranties, including fitness for a particular purpose, merchantability, and non-infringement. The Service does not constitute legal, financial, tax, or accounting advice. Decisions you make in connection with the Service are your responsibility.
13. Limitation of liability
Nothing in these Terms limits liability that cannot be limited or excluded under English law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.
Subject to the above, to the fullest extent permitted by law:
- We are not liable for indirect, consequential, incidental, or special losses.
- We are not liable for loss of profits, loss of business, loss of goodwill, loss of revenue, or loss or corruption of data.
- Our total aggregate liability to you under or in connection with these Terms in any 12-month period is limited to the greater of (a) the fees you paid us in that period or (b) £500.
If you are using the Service as a consumer rather than in the course of business, nothing here affects your statutory rights under the Consumer Rights Act 2015.
14. Indemnity
You agree to indemnify and hold Elegant Haven Ltd harmless from claims arising out of (a) your breach of these Terms, (b) your misuse of the Service, (c) content you upload, or (d) claims by your clients relating to invoices you issued through us, except to the extent caused by our fault.
15. Termination
By you
You can stop using the Service and close your account at any time by emailing office@duepay.co.uk.
By us
We may suspend or terminate your account immediately if you breach these Terms, if we are required to by law, or if continuing to provide the Service to you creates material risk. Where reasonably possible we will give you notice and a chance to fix the issue.
On termination
Your right to use the Service ends. We will delete or anonymise your account data within 30 days, subject to records we must keep under UK law (see the Privacy Policy). Stripe-held funds and payouts are governed by Stripe's terms.
16. Changes to the Service or these Terms
We may change the Service or these Terms from time to time. Material changes will be notified by email or in-app before they take effect. The “Last updated” date at the top reflects the current version. Continued use after the effective date means you accept the updated Terms.
17. Governing law and disputes
These Terms and any dispute arising from them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where mandatory consumer law gives you the right to bring a claim in your local courts.
We'd prefer to resolve disputes informally first — please email office@duepay.co.uk before escalating.
18. Miscellaneous
- Severability. If any part of these Terms is held unenforceable, the rest remains in effect.
- No waiver. Our failure to enforce any right isn't a waiver of it.
- Assignment. You may not assign these Terms without our written consent. We may assign them as part of a merger, acquisition, or reorganisation.
- Entire agreement. These Terms, together with our Privacy Policy, are the entire agreement between us about the Service.
